1. HOW TO ENTER:
The OneCoach, Inc. ("OneCoach") Million-Dollar Business Makeover Contest and Sweepstakes ("Contest") begins midnight local time, on May 20, 2008 and ends 11:59 PM local time on December 31, 2008. The Contest will be promoted on the OneCoach webpage, online media, and print media. There are three parts to the Contest. A participant is not required to participate in all parts of the Contest, but must participate in all three parts to be eligible to win the grand prize. Participants enter the first part of the Contest by providing their name, email address, zip code, and agreeing to these rules and regulations. At this stage, they automatically win a free audio download. To qualify for the larger prizes, the participant is prompted to provide more information such as phone number, physical mailing address, and answer three pre-qualifying questions. This makes the participant eligible to win the 2nd place through 6th place prizes. To become eligible for the grand prize, the participant must continue on and complete the third and final step of the Contest, which is to answer further pre-qualified questions (approximately 5 questions). Any entry by the participant constitutes consent to participate in this Contest and agreement with these Rules. All entries will be the property of OneCoach. OneCoach is not responsible for lost, late, incomplete, or otherwise misdirected entries that are processed late or incorrectly or are lost due to computer or electronic malfunction or other error. To claim a prize, you must provide your correct name, mailing address, telephone number, and email address. NO PURCHASE IS NECCASSRY FOR ANY PART OF THE CONTEST.

2. ELIGIBILITY:
Contest is open to any living persons, wherever located, who are 18 years of age or older at the time of entry and who either own a business or are thinking about starting a business. Employees, immediate family members and/or those living in the same household of each participant, and their agents, affiliates, and subsidiaries are not eligible to enter this Contest or receive any prizes. By entering into this Contest, the participant shall be deemed to have read and agreed to be bound by these terms and conditions, the website Terms of Use, and by the decisions of OneCoach and its affiliated entities, which shall be final and binding in all respects. APPLICABLE LOCAL, STATE, FEDERAL, AND INTERNATIONAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED BY LAW.

3. PRIZES; SELECTION OF WINNERS:
All participants who complete the first basic entry step of the contest will win a free audio download (MSRP/each: $100). Winners for the audio download are automatically picked as long as their email address is valid. Participants who complete the second entry will be eligible to win middle-tier products and services. Winners for the middle-tier prizes will be picked by random automated drawing at various times during the course of the Contest period. OneCoach has full discretion over the selection schedule. The total number and the type of middle-tier prizes that will be given away during the course of the Contest period are: 10 Business Mastery Scholarships (MSRP/each: $4175), 30 Mind Marketing & Millions Business Conference tickets (MSRP/each: $1500), 30 Attract More Clients programs (MSRP/each: $1350), 30 Mindset for Success programs (MSRP/each: $900), and 300 The Answer books (MSRP/each: $25). One grand prize winner will be selected for a "Business Makeover" (MSRP/each: $75,000). All three entries are required to be eligible for the grand prize. The grand prize selection schedule is under the discretion of OneCoach. A "Business Makeover" consists of $50,000 in OneCoach Business Services and $25,000 in cash. The $50,000 OneCoach Business Services include: Business Mastery Membership (MSRP $4175), 20 coaching calls (MSRP $5300), $25,000 worth of Consulting services, $11750 worth of consulting with OneCoach founders John Assaraf and Murray Smith, Business Conference ticket (MSRP $1500), Mindset for Success program (MSRP $900), Attract More Clients program (MSRP $1350), and The Answer book (MSRP $25). OneCoach will select the grand prize winner based on a pre-defined algorithm/query that most accurately match participant answers to pre-defined answer values that reflect the profile of an ideal OneCoach client that is likely to succeed in business. OneCoach has complete discretion over the pre-defined answer values that will be used. The pre-defined answer values are determined by OneCoach experts and will calculated automatically. If there is a tie between more than one contestant that qualifies for the grand prize, OneCoach will conduct interviews with the contestants to determine eligibility based on business plan, desire and likelihood to succeed. All contestants can win more than once. However, they cannot win the same prize more than once. When a contestant wins a prize, they become ineligible to win a prize below their prize category. The categories of the prizes from top to bottom are: Business Makeover, Business Mastery Scholarship, Mind Marketing & Millions Business Conference ticket, Attract More Clients program, Mindset for Success program, and The Answer book. ALL INTERNATIONAL, FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF THE PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. All costs and expenses not specified herein are the sole responsibility of the winner. No substitutions, except at OneCoach's sole discretion, in the event of prize unavailability. Prize is not transferable, except at discretion of OneCoach. OneCoach is not responsible in the event that the participant provides any incorrect, expired, or otherwise invalid information.

Odds of winning depend upon the number of eligible entries received.

5. CONDITIONS OF PARTICIPATION; NOTIFICATION OF WINNER:
As a condition of participation in the Contest, each participant acknowledges and agrees that, subject to applicable law, OneCoach reserves the right to use all submissions to the Contest for commercial purposes, including, without limitation, advertising, promotional, retail, wholesale and any other sales or other purposes without additional compensation to the winner. All submissions will be reviewed and approved by OneCoach before publication on the One Marketplace webpage. OneCoach reserves the right to deny publication of any submitted entry deems inappropriate. OneCoach decisions regarding this Contest, including how and to whom to award prizes, shall be determined in OneCoach's sole discretion and shall be final in all respects. OneCoach reserves the right to modify the terms and conditions at any time during the Contest. Participants are responsible for checking the Web site at www.themilliondollarbusinessmakeover.com to see if any changes to the Contest have been made. Prize Winners will be notified by mail and/or email within fourteen (14) days of selection and may be required to sign and return a Prize Verification Form and/or Release to OneCoach within fourteen (14) days of notification. If a potential winner cannot be reached after a reasonable effort has been exerted, or he/she is found to be ineligible, or he/she cannot or does not comply with these official rules, or if a prize or prize notification is returned as undeliverable, such potential winner will be disqualified, and an alternate potential winner may be selected at OneCoach's sole discretion.

5. DISCLAIMERS:
OneCoach and its subsidiaries and affiliated entities are not responsible or liable for Contest entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for entries that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, deleted, damaged, incomplete, or otherwise not in compliance with these official rules, and all such entries will be disqualified. By participating in the Contest, each registrant/entrant agrees and acknowledges: to be bound by these official rules, all OneCoach-related terms and conditions, as well as the decisions of OneCoach which are final and binding in all respects; to waive any rights to claim ambiguity with the official rules; and that OneCoach and its affiliated entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in the Contest; acceptance/possession (including, but not limited to, delays by shipping companies), defects, and/or use/misuse of a prize (including, but not limited to, cancellation/postponement of screening date); discontinued prizes; human error; incorrect or inaccurate transcription of registration and/or account information; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, or internet service provider utilized by OneCoach; interruption or inability to access OneCoach, its affiliated entities and their respective websites, or any online service via the internet due to hardware or software compatibility problems; any damage to participant's (or any third person's) computer and/or its contents related to or resulting from any part of the Contest; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of OneCoach or any one of its affiliated entities. Each participant further agrees to indemnify and hold harmless OneCoach and its subsidiaries and affiliated entities from and against any and all liability resulting or arising from the Contest and to release all rights to bring any claim, action or proceeding against OneCoach or its affiliated entities, and hereby acknowledge that OneCoach and its subsidiaries and affiliated entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a prize, including express warranties provided exclusively by a prize supplier that may be sent along with a prize. OneCoach and/or its subsidiaries and affiliated entities shall in no event be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of any of the prize suppliers or any of their agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of OneCoach, or (3) by any other cause, condition or event whatsoever beyond the control of OneCoach or its parents, subsidiaries and affiliated companies. Title of this Contest may change during the Contest. ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE ONECOACHS RESERVES THE RIGHT TO SEEK ALL LEGAL AND EQUITABLE REMEDIES FROM AND AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Additionally, any attempt to cheat the Contest, as determined at the sole discretion of the OneCoach, may result in immediate disqualification of the entrant, as well as other possible consequences, including disqualification from any and all existing and future Contests. Any attempt to cheat by creating fake profiles will be looked upon very seriously, and can result in immediate and permanent ban, and possible further action. Irrelevant entries, as deemed irrelevant at the sole discretion of OneCoach, and those using copyrighted content may be removed and disqualified from the Contest. In the event of a dispute, entries made by Internet will be declared made by the authorized account holder of the username submitted at time of concept. "Authorized account holder" is defined as the natural person who is assigned to a username in the ONECOACH.com system. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, unavailable funds or any other causes beyond the control of the sponsor, OneCoach reserves the right at its sole discretion to cancel, terminate, modify, extend or suspend the Contest and select winners from among all eligible entries prior to the cancellation.

6. WINNERS LIST; USE OF INFORMATION:
All winners will be announced according to the selection schedule. Winners will be contacted personally by OneCoach staff and may be featured on the website for a period of up to one month. The information that you provide in connection with the Contest may be used for OneCoach's internal purposes and to send you information about OneCoach's products and special promotions but will not be provided to third parties, except for franchisees and affiliates, and except as necessary for the administration of the Contest or as required by law or legal process. Entry constitutes permission to post winner's names on Website and to use winner's name, hometown and/or likeness for purposes of advertising and promotion without further compensation unless prohibited by law. 7. APPLICABLE LAW:
The Contest and these official rules shall be construed and governed in accordance with the laws of the State of California.
